Overview

Welcome to ShopLivia. These Terms of Service (“Terms”) are a legally binding agreement between you (“you”, “your”) and T.vP. Studios (operating as shopLIVIA) (“ShopLivia”, “we”, “us”, “our”). We operate this store and website, including all related information, content, features, tools, products, and services (collectively, the “Services”) to provide you with a shopping experience.

Our store is powered by Shopify, which allows us to provide the Services to you. By visiting, interacting with, or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy.

5. Shipping and Delivery

Shipping details are governed by our Shipping Policy. Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, customs processing, or events outside our control.

Title and risk of loss pass to you upon delivery of the products to the carrier, except where restricted by applicable consumer laws.

The Services and all content within the Services (including trademarks, logos, text, graphics, images, video, audio, and design) are owned by ShopLivia, our licensors, or other providers and are protected by intellectual property laws.

9. Relationship with Shopify

ShopLivia uses Shopify to power the Services. However, purchases made through our store are transactions directly between you and ShopLivia. You acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and ShopLivia, including product quality, delivery, refunds, or disputes. You expressly release Shopify and its affiliates from any claims, damages, and liabilities arising from your purchases and transactions with ShopLivia.

11. Feedback and Reviews

If you submit ideas, suggestions, reviews, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial purposes, subject to applicable law.

You represent that you own or have the necessary rights to submit the Feedback and that it does not violate any third-party rights or applicable laws.

We may occasionally have typographical errors, inaccuracies, or omissions relating to product information, pricing, promotions, shipping charges, transit times, and availability. We reserve the right to correct such issues and to cancel any order if information is inaccurate, at any time without prior notice.

This includes attempting to interfere with the security, integrity, or proper functioning of the Services; transmitting malware; scraping; or attempting unauthorized access to systems or data.

We may terminate or suspend your access to the Services at any time, with or without notice, to the extent permitted by law. You remain responsible for all amounts due up to the date of termination.

To the fullest extent permitted by law, the Services and all products are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some states do not allow limitations on implied warranties, so the above disclaimer may not apply to you.

To the fullest extent permitted by law, in no event shall ShopLivia (including its owners, employees, contractors, service providers, and affiliates) or Shopify (including its affiliates) be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or replacement costs, arising from or related to your use of the Services or any products.

Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

17. Indemnification

You agree to indemnify, defend, and hold harmless ShopLivia and Shopify (and their affiliates, officers, directors, employees, contractors, licensors, and service providers) from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Services; or (c) your violation of any law or third-party rights.

18. Severability

If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

19. Waiver; Entire Agreement

Our failure to enforce any right or provision of these Terms will not constitute a waiver. These Terms, together with the policies linked above, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements or communications.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms and our rights and obligations without restriction.

21. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Services will be governed by the laws of the Netherlands, without regard to conflict of law principles, except where mandatory consumer protection laws in your state of residence apply.

You agree that any legal action related to these Terms or the Services shall be brought in the competent courts located in the Netherlands, unless applicable law provides otherwise.

Headings are for convenience only and do not affect the interpretation of these Terms.
